To perform a pre-upgrade checker
Log on to FIM1 as CORP\Administrator.
Click Start, select All Programs, select Accessories, and then right-click Command Prompt and select Run as Administrator. This will open a command prompt.
Navigate to C:\Program Files\Common Files\Microsoft Shared\We Server Extensions\12\BIN

Stsadm.exe –o preupgradecheck
This will begin a series of tests. These should all pass.
Once this completes, Internet Explorer will open up with a check report. Close Internet Explorer. Close the command prompt.
Backup the WSS 3.0 environment
Before performing an in-place upgrade we will backup our WSS 3.0 environment.
To backup the WSS 3.0 environment
On FIM1, click Start, click Administrative Tools, and click SharePoint 3.0 Central Administration. This will bring up the SharePoint Central Administration.
On the left, click Operations.
Under Backup and Restore click Perform a backup.
On the Select Component to Backup screen, place a check in farm and click Continue to Backup Options.
On the Select Backup Options screen, enter \\FIM1\FIMBackups\SharePoint under backup location and click OK. This will begin the backup. The screen will periodically refresh.
Once it is complete, close Central Administration.
Install SharePoint 2010 Foundation Pre-requisites
For this part of the upgrade, you must remove FIM1 from the private network and establish internet connectivity. This is so that SharePoint Foundation 2010 can automatically download and install the required pre-requisites.
To install SharePoint 2010 Foundation Pre-requisites
Navigate to the directory that contains the SharePoint Foundation 2010 binaries and double-click SharePointFoundation.EXE. This will launch a Microsoft SharePoint Foundation 2010 screen that will indicate that files are being extracted. Once this completes you will see the splash screen.
Take FIM1 off of the private network and reconfigure the network so that FIM1 can access the internet. This is so that we can download and install the SharePoint Foundation 2010 prerequisite software. This software can be installed manually prior to installing SharePoint Foundation 2010. The following list of pre-requisite software is provided so that these can be manually installed.
